Stanchion Masters Reseller Terms & Conditions
Boulevard Supply LLC • Reseller / Distributor Agreement Terms
1. Parts Availability
Plan ahead. Order ahead. Build your inventory. All Stanchion Masters posts, components and replacement parts are subject to available inventory in Las Vegas, Nevada. Availability is not guaranteed until an order is confirmed. Resellers and distributors are responsible for maintaining adequate inventory for anticipated customer requirements.
2. Pricing & MAP
Prices are subject to change without notice. Pricing in effect when an order is accepted will apply to that order. Stanchion Masters Minimum Advertised Price (MAP) requirements must be followed where applicable. Unless otherwise approved in writing, the current minimum advertised price for complete posts must not be advertised below the MAP established by Boulevard Supply LLC.
3. Payment
Payment in full is required before parts are shipped. Payment must be made by ACH or direct bank deposit unless other payment terms have been approved in writing by Boulevard Supply LLC.
4. Assembly Requirements
Resellers and distributors must assemble Stanchion Masters products exactly according to current Stanchion Masters specifications and assembly instructions. Failure, damage or performance problems resulting from improper assembly, unauthorized modifications, substituted components, incorrect hardware, over-tightening, improper adhesives or failure to follow Stanchion Masters instructions are the responsibility of the reseller or assembler.
5. Authorized Components Only
Only Stanchion Masters-approved posts, bases, hardware, fasteners, adhesives and assembly components may be used when assembling products sold or represented as Stanchion Masters products. Use of substituted or unauthorized components may void applicable parts warranty coverage and may disqualify the completed product from being represented as an approved Stanchion Masters assembly.
6. Salt Water, Coastal & Pool Areas
For installations exposed to salt water, coastal conditions, pool environments or similar corrosive conditions, Black Thermo-Poly Coated cast iron bases with Full Base Covers are required. Components specified for these environments must not be replaced with standard indoor or inland components.
7. Parts Defects & Replacement Claims
Claims involving defective, damaged or failed components will be evaluated before replacement or credit is authorized. Parts must not be discarded until Stanchion Masters has completed its evaluation or authorized disposal. Photos, order information and other documentation may be required.
8. Shipping & Inspection
Shipping charges are additional unless otherwise stated. Reseller is responsible for inspecting shipments promptly upon receipt and reporting shortages, visible freight damage or incorrect parts as soon as reasonably possible. Freight damage should be documented with photographs before packaging is discarded.
9. Assembly Records
Resellers and distributors should retain sufficient assembly records to identify the assembler and the approved components used in each completed product when reasonably practical.
10. Reseller Insurance
Resellers and distributors assembling or selling completed Stanchion Masters products are responsible for maintaining appropriate commercial general liability and product liability insurance applicable to their operations. Upon request, reseller will provide proof of coverage. Boulevard Supply LLC may require a certificate of insurance and, when required in writing, an additional-insured endorsement.
11. Confidentiality
Reseller agrees to keep confidential all non-public Stanchion Masters reseller pricing, component sources, supplier information, assembly specifications, drawings, production methods, customer information and other proprietary business information supplied by Boulevard Supply LLC. Confidential information may be used only for authorized resale and assembly of Stanchion Masters products and may not be disclosed to third parties without prior written authorization.
12. Non-Circumvention
Reseller may not use confidential supplier, manufacturer, sourcing or production information provided by Boulevard Supply LLC to bypass Boulevard Supply LLC, purchase proprietary Stanchion Masters components directly from disclosed sources, or arrange for unauthorized reproduction of Stanchion Masters products or components.
13. Intellectual Property & Brand Use
Stanchion Masters®, product names, designs, specifications, photographs, marketing materials and related intellectual property remain the property of Boulevard Supply LLC or their respective owners. Reseller receives only a limited right to use approved Stanchion Masters branding in connection with the authorized resale of genuine Stanchion Masters products.
14. No Unauthorized Manufacturing, Copying or Reverse Engineering
Reseller may not manufacture, reproduce, reverse engineer, commission the manufacture of, or substitute components intended to imitate or replace proprietary Stanchion Masters components without prior written authorization from Boulevard Supply LLC.
15. Brand Integrity
Any product represented, advertised or sold as a Stanchion Masters product must be assembled using approved components and current Stanchion Masters specifications. Modified or substituted assemblies may not be represented as Stanchion Masters products.
16. Reseller Responsibility
The reseller or assembler is responsible for claims, losses, failures or damage arising from its improper assembly, installation, unauthorized modification, component substitution, representations or misuse of Stanchion Masters products.
17. Independent Business
Reseller is an independent business and is not an employee, partner, joint venturer, agent or legal representative of Boulevard Supply LLC. Reseller has no authority to create obligations or make warranties on behalf of Boulevard Supply LLC beyond written Stanchion Masters materials supplied or approved by Boulevard Supply LLC.
18. No Exclusivity
No exclusive territory, customer group, market or reseller right is granted unless expressly provided in a separate written agreement signed by Boulevard Supply LLC.
19. Termination of Reseller Authorization
Boulevard Supply LLC may suspend or terminate reseller authorization for failure to follow pricing policies, payment terms, assembly requirements, approved-component requirements, brand standards or these Terms & Conditions. Upon termination, reseller must discontinue representing itself as an authorized Stanchion Masters reseller or distributor.
20. Continuing Obligations
Confidentiality, non-circumvention, intellectual-property, brand-use and responsibility provisions that by their nature should continue after termination will remain applicable after the reseller relationship ends.
21. Governing Law
These Terms & Conditions are governed by the laws of the State of Nevada. Any dispute relating to these terms will be brought in an appropriate court located in Clark County, Nevada, unless the parties agree otherwise in writing.
Terms & Conditions Acknowledgment
Required: Submit a signed and dated copy with the first parts order and again whenever Boulevard Supply LLC issues updated reseller terms.
